NJORD Estonia advised AXIOMA LT UAB in acquisition of Aktsiaselts REMEKSI KESKUS

NJORD law firm acted as a buyer-side legal advisor in the acquisition of Aktsiaselts REMEKSI KESKUS by AXIOMA LT UAB, a Axis Industries Group company. We assisted the client in completing a legal due diligence, obtaining merger clearance and provided transaction advise.

Aktsiaselts REMEKSI KESKUS was established in 1994 on the basis of a fertilizer plant. The company has a long experience in the manufacturing of metal structures and products for chemical, pulp and mining sectors. Aktsiaselts REMEKSI KESKUS major projects include Petroter factories ordered by VKG Group, flow line and equipment ordered by Stora Enso and Bensoflex production factory ordered by Velsicol Chemical Corporation.

AXIOMA LT UAB, which is part of the Axis Industries Group, is engaged in the production and installation of a selection of metal products for industrial and energy sectors. Axis Industries AB and Axis Technologies AB turnover in 2015 was 22.5 MEUR. Axis Industries UAB already operates in Estonia building the second VƤo heat and electricity co-generation station for Utilitas.

Axis Industries Group belongs to ICOR Group, which comprises of approximately 140 companies operating globally in four main areas: utilities, industry and energy, real estate, and oil products.

The advising team was led by partner Anne Veerpalu and consisted of partner Veikko Toomere, associate Jelizaveta Rastorgujeva, lawyers Raimo Klesment and Triin Kaurson.

NJORD Estonia: Agenda items for company’s general meeting

During the first half of every year, all companies are working hard to submit their annual reports. Annual reports must be submitted within six months after the fiscal year has ended. The submission deadline is usually June 30. Cabotage and combined transport – beware!

For a long time, the legal position for combined carriage of goods by road has been more or less unclear. The Danish Transport, Building and Housing Authority has however recently issued an executive order implementing the rules of the so-called 'Combi Directive' (EU Directive 92/106). The executive order will come into force on July 1, 2018. In addition to implementing the directive, the executive order contains some 'new' rules that will clarify to what extent it is possible for foreign carriers to perform combined transport to and from Denmark.
