NJORD advises on Estonia-Latvia cross-border merger
NJORD advised a client in the IT sector on a cross-border merger between Estonia and Latvia.
The transaction involved the merger of the client’s Estonian private limited company (OÜ) into an existing Latvian limited liability company (SIA). As a result of the merger, the Estonian entity ceased to exist, and all its assets, rights, obligations and business were transferred to the Latvian company as part of the reorganisation.
The matter was handled by NJORD Latvia and NJORD Estonia in close cooperation across both jurisdictions. Although the applicable legal framework is based on harmonised EU rules, the transaction required careful coordination of the relevant corporate, registration and procedural requirements in Latvia and Estonia.
NJORD’s teams advised on the structuring and implementation of the merger, prepared and coordinated the transaction documentation, and supported the client throughout the process until completion.
